Assistance with Divestiture
A publicly traded pharmaceutical company shifted its core product strategy from developing treatments
for a wide range of chronic diseases to concentrating on a small core suite of products. The shift necessitated
a significant change in the company's senior management team and business plan, including termination of the
research, development and marketing of a commercial drug and divestiture of a national sales and distribution
business and sales force.
We provided a RGP Legal consultant who was a former public company general counsel with significant
experience in corporate restructurings and business turnarounds, including divesting assets and downsizing companies.
Leveraging his experience, our consultant assisted outside counsel in selling one of the company's commercial drug
products and its related national sales force. Our consultant also helped the company to sublease its research and
development facilities, resolving various vendor and supplier disputes and resolving royalty and other disputes under
license and supply agreements.
Acquisition Preparation Assistance
Having recently consolidated over twenty separate private businesses, a private company needed help preparing a
multi-billion dollar bid for an acquisition involving private equity investors. In order to meet the strict time
schedule established by the potential buyers, the client had to complete pre-acquisition due diligence and corporate
clean-up, as well as prepare disclosures on the legal aspects of it recent consolidation. In addition, the client had
to manage the simultaneous due diligence efforts of nine separate bidders.
Our RGP Legal consultant assisted by managing significant elements of the due diligence and acquisition
process, leaving our client's General Counsel free to manage the interaction with bidders and to counsel the board
of directors and senior executives. Our client was able to complete the due diligence process, successfully coordinate
the disclosure process with multiple law firms representing the investors and the lenders, and meet the deadlines set
forth by the bidders.
A publicly traded global manufacturer of specialty chemicals and polymer products filed a voluntary petition for relief
under Chapter 11 of the United States Bankruptcy Code. In connection with the bankruptcy filing, our client needed to
engage in a comprehensive review and analysis of its current commercial and corporate contracts. Given the significant
number agreements to be reviewed, and in order to meet the required deadlines, our client asked for additional support
to supplement its in-house legal team and outside counsel.
We provided a team of five (5) attorney consultants from RGP Legal, with varied subject matter
expertise, including extensive experience in bankruptcy, sophisticated commercial transactions, and commercial finance.
Additionally, several of the consultants had transactional experience within the chemicals industry. Our consultants
worked seamlessly with our client's in-house legal team to review a significant volume of contracts and assist in the
preparation of a schedule of executory contracts. In addition, one of our consultants also assisted with streamlining
various corporate governance processes.
Class Action Litigation Support
One of the world's largest publicly traded food and beverage companies was facing a substantial class action lawsuit.
During the discovery phase, our client was served with various discovery requests, including certain requests for production
of documents. Given the extensive breadth and scope of these requests, the universe of responsive documents was substantial.
In order to respond to the discovery requests in a timely and cost effective manner, our client requested that we partner
with its outside counsel, a large international law firm.
We provided a team of six (6) attorney consultants from RGP Legal to work closely with our client's
outside counsel in the review of documents for responsiveness, confidentiality and privilege. Using outside counsel's document
review technology, the consultants conducted the review in conjunction with both the partner and associate teams assigned to
the matter. As a result of our consultants' involvement, our client was able to complete the review in a timely fashion, at
a cost far less than if it had relied solely upon outside counsel.
